C H A R T E R
of a branch of foreign non-commercial, non-governmental Association "International Council for Scientific Development"
(Russian Section of the International Academy of Science)

I. GENERAL

1.1 A branch of foreign non-commercial, non-governmental Association "International Council for Scientific Development (Russian Section of the International Academy of Science) hereunder referred to as "Section" is a voluntary self-governing social structure, acting in the interests of its members on the principles of equal rights, law and openness (glasnost).

1.2 Section is an juridical person from the moment of its registration, has its property, autarkic balance, bank accounts, including currency, has the right to obtain material and personal non-material rights and to perform duties, to conclude agreements and contracts, to act as plaintiff and respondent in court.

1.3 Section carries out its activity on the territory of Russian Federation under the Constitution and Legislation of RF, universally recognized principles and standards of international rules, Charter of ICSD and the present one.

1.4 Section maintains relationships and cooperates with other branches of ICSD in different countries.

1.5 Section has its own round seal in Russian and English, stamp, headed note-paper, symbol, emblem and other props., retifired and registered by legislation.

1.6 From the moment of state registration its currently in force top leader -Directorate (The board of Directors)-acts as a juridical person on behalf of the Section and performs its duties under the Charter.

1.7 The official name of the Section:
In Russian: Отделение иностранного некоммерческого неправительственного объединения "Международный совет по научному развитию" (Русская секция Международной Академии Наук).
In English: "International council for Scientific Development" (Russian Section of the International Academy of Science)

II. GOALS, TASKS, RIGHTS AND DUTIES OF THE SECTION

2.1 The main goal of the Section is promotion and participation in development of global scientific programs in science, social and cultural life, application of principles of humanity, effectiveness of interaction in different fields of life, internationalization of education, researches, tuition and training, medicine, ecology, economy.

2.2 The principle tasks of the Section:

participation in studies and scientific solution of acute social problems common to all mankind, promotion of creative potentials of scientists, engineers, public figures, cultural workers;
propaganda of achievements in science, techniques, culture and art by publications of scientific, informational, popular and methodical literature;
public discussions and promotion of works of Russian scientists, public figures, artists and nomination of their works for awards and prizes, national and international;
consulting , informational and methodical support of organizations, carrying on research, scientific-technical, public and cultural activities;
promotion of the results of creative and scientific activities of Russian scientists on global level, establishment of close relations between scientists, public, artistic figures for the development of international scientific cooperation;

2.3 According to the Legislation the Section has the right:

to present and defend its rights and legal interests of its members and other citizens in state and local governments, social societies and other structures;
to participate in taking decisions in bodies of state and local government, dealing with the activities of the Section, provided for the present legislation;
to put forward initiatives on various questions of public life, referring to the activities of the Section, to make proposals to governmental bodies;
to create information services, to perform publishing and advertising activity in the interests of the Section, to institute mass media, to distribute information about the activities of the section;
to develop, to approve and realize the programs of the activities, to be in command of its property and resources received from ICSD and other Russian and foreign juridical and physical persons;
to organize, hold and participate in conferences, symposia, meetings, work-shops, exhibitions, auctions and the like;
to send abroad for a mission members of the Section, to accept foreign specialists in Russia to realize the problems concerned with Section's activity;
to receive and distribute humanitarian help
to set up branches and representations in Russia and abroad;
to establish purposeful funds;
to arrange bargains, agreements contracts, treaties;
to carry on a charitable activity;
to support its colleagues (foreign citizens) in getting documents, confirming their legal status, in housing, education of their children, in getting visas and other documentation and permissions necessary for their free activity in the Section;
to perform full power provided by legislation for social structures;
to perform any activity according to the present Legislation;

2.4 License activity of the Section can be performed only after getting licenses according to the legislation;

2.5 The Section is obliged:

to observe the legislation of the Russian Federation generally recognized principles and norms of International legal rules related to its activity and also norms provided by the Charter and other constituent documents;
to inform every year the registration organ about prolongation of its activity giving all necessary information;
to permit representatives of registration organ to visit all Section's undertakings
to submit annual reports about utilizing of its property or make the reports available for inspection;
to assist the representatives of the registration organ in inspection of Section's activity upon achievement of required goals and observation of the legislation of RF;
to make reports to ICSD for the purposeful funds received;

2.6 The section accounts for its commitments with all belonging to the Section property on which according to the legislation a penalty can be incurred.

2.7 The Section does not account for the commitments of the state and its members, the State and members of the Section do not bear responsibility for their commitments.

III. MEMBERS OF THE SECTION, THEIR RIGHTS AND DUTIES

3.1 Membership in the Section is voluntary. All members of the Section have equal rights and equal duties. Members of the Section can be citizens of the Russian federation of the full legal age (adult), foreign citizens or persons without citizenship and also juridical persons - public organizations recognizing the Charter of the section and participating in realization of the Section's goals and tasks. Admission of the members of the Section is realized by Directorate upon a written application of a physical person or a decision of plenipotentiary organ of a juridical person -social organization.

3.2 The members of the Section have the following rights:

to elect and be elected to the leading and control organs of the Section;
to discuss the plans of the section;
to participate in the section's activity
to quit voluntary the Section's membership;

3.3 The members of the Section are obliged to keep within the Section's Charter, to follow the decisions of the leading bodies of the Section, to participate in the Section's activities. Any member of the Section can be expelled from the Membership of the Section by Directorate for the infringement of the Charter.

3.4 Honorary membership is provided.

3.5 A membership status is approved by Directorate.

IV. TOP LEADING AND CONTROL ORGANS OF THE SECTION

4.1 The highest top leader of the Section is a General Assembly called once a year. Extraordinary meetings can be called on the initiative of Directorate, C-Presidents or on demand of more than a half of members.

4.2 General Assembly tackles all questions of the Section. To exclusive competence of General Assembly refers:

to pass a charter, to make amendments and additions
to elect for 2 years two C-Presidents and two General Secretaries from Russian and German sides, Directorate and its members, Executive Director, Chairman and members of Auditing Commission with the subsequent approval by ICSD
approval of Directorate's and Auditing Commission's reports;
approval of Auditing Commission's Status;
to assign the main directions of the Section's activities;
to take decisions of reorganization or liquidation of the Section.

4.3 The General Assembly is authorized if more than a half of members are present. Decisions are taken by show voting by the majority of votes. Decisions about changes and amendments to the Charter, about reorganization and liquidation of the Section are taken by 2/3 of votes of members present at the General Assembly.

4.4 The leading organ between the General Assemblies is Directorate, which is called by one of Co-Presidents as required but not rarely than once in half a year. Directorate is authorized if more than a half of its members are present at the meeting. Directorate of the Section consists of:

two Co-Presidents
Executive Director
two General Secretaries
members of Directorate.

The number of Directorate's members is determined by the General Assembly.

4.5 Directorate of the Section:

calls and holds General Assemblies of the Section and realizes their decisions;
works out plans and tackles questions of the Section's activities;
considers and approves reports of Co-Presidents;
approves Status of Section's membership;
affiliates and expels members of the Section;
approves budget of expenditures and revenues of the section;
distributes the Section's budget
settles other questions of the Section's activity, out of the exclusive competence of General Assembly.

4.6 Co-President of the Russian side is Top official person of the Section, heads the Section and its Directorate, governs its activity.

4.7 Co-President of the Russian side:

calls Directorate;
represents the section in relations with state and local governmental bodies, juridical and physical persons in Russia and abroad, issues letters of attorney;
organizes the fulfillment of General Assembly's and Directorate's decisions;
has the right of the first signature on financial and other documents of the Section;
concludes treaties, agreements and contracts, opens and closes accounts in banks;
takes on and dismisses from work the staff of the Section, arranges their official duties, defines their official salaries, disposes of the property and funds in the limits of estimate approved by Directorate;
determines the competence of Directorate's members;
performs any other activity outside the competence of General Assembly and Directorate;

4.8 Co-President of the German side:

represents the interests of the Section in ICSD;
finds foreign partners to organize joint projects;
plans and organizes international scientific symposia, conferences and congresses with the Section's participation;

4.9 In absence of Co-President from the Russian side his functions are performed by the Executive Director of the Section

The Executive Director:

presides Directorate's meetings and General assemblies of the Section;
manages the projects and programs of the Section;
represents the Section in relations with state and local governments, juridical and physical persons in Russia and abroad within its competence.

4.10 In absence of the Executive Director his functions are performed by the General Scientific Secretary from the Russian side.

General Scientific Secretary of the Russian side:

presents documents of candidates for election full , honorary, associate members of the Section;
keeps and deposits documentation of the Section.

4.11 The control of the finances and economical activities of the Section is realized by inspection commission, acting according to the status and making auditing not rarely than once a year.

V. PROPERTY AND FUNDS OF THE SECTION

5.1 The Section has the right to hold land, buildings, constructions, housing resources, transport, installations, office equipment, cultural and educational belongings, finances, stocks and shares and other property necessary for the Section's activity in accordance with its Charter.

5.2 The Section has the right to possess, to use, to govern the property, finances, securities, belonging to the Section by the right of its property.

5.3 The principal source of financial and property receipt of the Section are purposeful provision allotted by ICSD and the following:

purposeful and voluntary donations, gifts and contributions of juridical and physical persons Russian and foreign;
other legal donations.

5.4 The only owner of the property and funds of the Section is the Section as a whole. Any single member of the Section has no any right of property for a part of the property and funds belonging to the Section.

5.5 The revenues from the Section's activities can not be redistributed between the members of the section, but should be used exclusively to serve the purpose of the Section.

VI. THE CHANGES AND AMENDMENTS IN THE CHARTER

6.1 The changes and amendments in the charter are made and approved by 2/3 of the votes of the members of the Section, present at the General Assembly.

6.2 The changes and amendments are subject to state registration according to the present legislation and come into effect from the moment of their registration.

VII. REORGANIZATION AND LIQUIDATION OF THE SECTION

77.1 Reorganization of the Section can be made by the decision of the General Assembly according to the Civil Code and other legislative acts of the Russian Federation.

7.2 Liquidation of the Section can be done on General assembly's or Court decision According to the present legislation.

7.3 Decisions on reorganization and liquidation of the Section are taken by the General assembly by 2/3 votes of the present members.

7.4 Property and funds of the Section, left after liquidation by decision of the General Assembly and after settlement of creditors' claims will be directed to the purposes, stipulated by the present Charter. The decision about the utilization of the property after liquidation of the Section is to be published by liquidation commission in press.

7.5 The documentation on the staff of the section after its liquidation will be forwarded to State archives.

Registration.

The Section of foreign non-commercial association "International Council on Scientific Development (ICSD) was registered by the Ministry of Justice of the Russian federation on February 19, 1999
